These Terms of Service ("Terms") govern your access to and use of Midnight Ledger (the "Service"), operated by Midnight Labs ("we", "us"), United Arab Emirates. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Midnight Ledger is bookkeeping software for small businesses in the UAE. It lets you record invoices, expenses, bank transactions and payroll, and produces reports such as a profit and loss statement, a VAT return summary and a corporate tax estimate. We provide the software; we are not your accountant, tax agent or auditor, and nothing in the Service is tax, legal or financial advice. You remain responsible for the accuracy of your books and for every filing you make with the Federal Tax Authority or any other body.
2. Accounts and companies
You must provide accurate information and keep your credentials secure. A company is the unit that owns books, documents and team members. Company owners are responsible for the people they invite and for the use of the company. You are responsible for all activity under your account.
3. Acceptable use
You agree not to use the Service to:
- record false or misleading financial information, or facilitate fraud, money laundering or tax evasion;
- upload content that is unlawful, infringing or harmful, or that you have no right to upload;
- access another company's data without authorisation, or interfere with, probe or disrupt the Service;
- use the Service in breach of applicable sanctions, export or data-protection laws.
4. AI receipt processing
When you ask the Service to read a receipt, the image is sent to Anthropic's API to extract the supplier, date, amounts and VAT. The result is a suggestion that you review before it is applied to your books. Extraction can be wrong; check every figure. Receipt images are not used to train any AI model. Usage is subject to fair-use limits, which we may change.
5. Your data
You retain all rights to the financial records, documents and personal data you enter or upload ("Your Data"). You grant us a limited licence to host, process, back up and display Your Data solely to provide the Service to you and your team. You are responsible for having the rights and consents needed for Your Data, including your employees' payroll details.
6. Privacy and record keeping
Our handling of personal data is described in our Privacy Policy. UAE tax law requires businesses to keep accounting records for at least seven years. The Service helps you with that by blocking the deletion of posted documents, but you remain responsible for retention: export your records before deleting a company or your account, as deletion is permanent.
7. Fees
The Service offers a Free plan and paid plans. The Free plan is limited to one user, 100 issued invoices and AED 100,000 of booked revenue per fiscal year; beyond either limit, issuing further invoices requires a paid plan. Prices are published in dirhams on the pricing page and in the app under Settings, Billing. New companies receive a trial of the paid plan without a payment method. Paid plans are billed in advance, monthly or yearly, by card through our payment provider, Stripe, and renew automatically until cancelled. You may cancel at any time; the plan stays active until the end of the period already paid for, and fees already paid are not refunded except where the law requires it. Downgrading never deletes your data: the Free plan limits what you can add, not what you can see or export. We may change prices with at least 30 days' notice before a change applies to you.
8. Intellectual property
The Service, including its software, design and brand, is owned by Midnight Labs and protected by intellectual-property laws. These Terms do not grant you any rights in our intellectual property other than the limited right to use the Service.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that reports, tax estimates or AI suggestions are complete or correct.
10. Limitation of liability
To the fullest extent permitted by law, Midnight Labs will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, data or goodwill, or for penalties, interest or assessments levied by any tax authority. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim or, if you have paid us nothing, AED 500.
11. Indemnification
You agree to indemnify and hold Midnight Labs harmless from claims arising out of Your Data, your use of the Service, or your breach of these Terms.
12. Termination
You may delete your company or your account at any time from Settings and your Profile. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. On termination, the licence to use the Service ends; provisions that by their nature should survive will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use after changes take effect constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Sharjah, and the courts of Sharjah will have exclusive jurisdiction over disputes, subject to any mandatory consumer-protection rights.
